Notification of transaction by connected person of Person Discharging Managerial Responsibilities- first announcement

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, Glencore International plc notifies that on 12 September 2011  FR Galaxy Holdings S.à r.l. (FR) notified the Company that:

1.     on 7  September 2011 FR agreed to sell 7,500 5% guaranteed convertible bonds due 2014 issued by Glencore Finance (Europe) S.A. (Bonds) for a price per Bond equal to U.S. $ 135,313.89. Also, FR's affiliate, ECP Galaxy Holdings S.à r.l., agreed to sell 500 Bonds at the same price per Bond;

2.     FR is a connected person of Mr William Macaulay, a Director and person discharging  managerial responsibilities of Glencore International plc;

3.     the sale of these Bonds was effected in London and will settle through the Euroclear system; and

4.     the sale of these Bonds constitutes a notifiable transaction under DTR 3.1.2.
