Notices of Annual General Meeting & Extraordinary General Meeting

GCP Asset Backed, which invests in asset backed loans, has today made available to shareholders the notice of its 2020 Annual General Meeting ("AGM") and the notice of an Extraordinary General Meeting ("EGM") in order to approve a resolution in relation to a proposed placing programme. The AGM and EGM are to be held on Tuesday 7 July 2020 at 11:00am and 11:15am, respectively, at 12 Castle Street, St Helier, Jersey JE2 3RT.

 

The AGM and EGM notices have been posted to shareholders, submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM . They can also be obtained from the Company Secretary or from the Company's website at www.gcpassetbacked.com .

 

Impact of COVID-19 on the AGM and EGM

The COVID-19 pandemic will affect the format of our AGM and EGM this year, and our priority is to ensure the health and wellbeing of all stakeholders. We recognise the current Government guidance designed to mitigate the spread of COVID-19, and specifically the avoidance of public gatherings and travel restrictions (the "COVID-19 Measures"). We fully support the COVID-19 Measures, and therefore if the COVID-19 Measures remain in place, and in particular if there are measures restricting public gatherings and travel restrictions as at the date of the AGM and EGM, shareholders may not be permitted to attend in person (other than those necessary to form the quorum, which will be facilitated by the Company).

Instead of attending in person, shareholders are strongly encouraged to exercise their votes by submitting their proxy electronically or by post. To ensure their vote counts, shareholders should appoint the chair of the meetings (and not another named person) as their proxy. Please contact the Company Secretary prior to the deadline for returning your proxy if you are considering attending in person. In addition, if a shareholder has a question that they would have raised at the meeting, we would ask that the question be submitted by email to the Company Secretary at gabicosec@apexfs.com . We will be monitoring carefully the Government restrictions which are in force on the date of the AGM and EGM to ensure that appropriate arrangements are in place. The Company will communicate any updates to the arrangements via its website www.gcpassetbacked.com and the London Stock Exchange. Shareholders are advised to check the Company's website for the most up to date position.
