                                ISSUE OF EQUITY

Asia Energy PLC ('the Company') today announces that it has issued and allotted
50,000 new Ordinary Shares of 10p each to key staff in consideration of
achieving Environmental Clearance and for lodging the Scheme of Development for
its Phulbari Coal Mine Project in north-west Bangladesh.

The new Ordinary Shares will rank pari passu with the existing Ordinary Shares
of 10p each in the Company and trading of these shares on AIM is expected to
commence on 21 October 2005.

The total number of Ordinary Shares in issue following this issue is 41,164,357.
