               NOTICE OF MAJOR INTEREST IN SHARES OF GB GROUP PLC

Following the implementation of the Transparency Directive in the UK, the
requirements for the notification of major shareholdings have changed.
Consequently GB Group has received the following initial disclosures under the
Directive:

   •Barclays PLC holds 4,911,789 ordinary shares of 2.5p representing 5.87%
    of the issued share capital of the Company on behalf of holdings of Barclays
    Stockbroker Limited and Gerrard Limited.

   •Rensburg Sheppards Investment Management Limited ('Rensburg') holds
    3,380,600 ordinary shares of 2.5p, representing 4.04% of the issued share
    capital of the Company, on behalf of client holdings registered in the name
    of nominee companies 100% owned by Rensburg.
