In accordance with Rule 2.10 of the City Code on Takeovers and Mergers,
GallifordTry announces that it has 221,422,254 ordinary shares in issue of 5p
each (ISIN GB0003599064) along with unexercised options over a total of
11,105,009 ordinary shares.  It has awards outstanding under GallifordTry's
restricted share scheme of 5,931,515 ordinary shares after 2,735,816 awards
lapsed on 27th October, 2003.
