Transactions by persons discharging managerial responsibilities and their connected persons in accordance with DTR 3.1.4(1)(a)

Galliford Try notifies that 75,243 Galliford Try plc ordinary shares of 50 pence each were released to Greg Fitzgerald a Director of the Company on 31 December 2015 following the early vesting of awards granted on 30 September 2013 (32,571 shares), 30 September 2014 (27,577 shares) and 25 September 2015 (15,095 shares) under the 2007 Annual Bonus Plan.  The awards were released early in accordance with good leaver provisions of the 2007 Annual Bonus Plan Rules following Mr Fitzgerald relinquishing his executive responsibilities and assuming the role of non-executive Chairman. 

On 31 December 2015, 35,365 shares were sold at £15.25 per share to meet Mr Fitzgerald's tax withholding liabilities. 

Following these transactions, Mr Fitzgerald's total holding is 730,146 ordinary shares of 50 pence each, representing 0.88% of the issued share capital.
