Circular to Shareholders

In   the  recent  announcement  of  interim  results  the
directors   stated   that  they  were   considering   the
possibility of raising further capital for investment  in
venture capital opportunities.

A circular was despatched on 15 July 1999 to shareholders
containing  proposals  (and  seeking  shareholders' and
warrant holders' approval) for a further fund raising  of
approximately £20 million (subject to market  conditions)
by way of an offer to members of the public.

An Extraordinary General Meeting of ordinary shareholders
and warrant holders has been convened for 9 August 1999.

It  is  envisaged that full details of the proposed offer
will be released in early October 1999.
