Foresight VCT plc Infrastructure Shares

 The following announcement replaces the previous announcement Issue of Equity dated 28 June 2012

The Board is pleased to announce that in accordance with the terms of the Offer for Subscription dated 7 October 2011 (the "Offer") and the supplementary prospectuses dated 15 February 2012 and 30 March 2012, 1,125,486 Infrastructure Shares of 1 pence each were allotted on 28 June 2012 at 100.00 pence per share.

Application has been made for the admission of the 1,125,486 Infrastructure Shares to the Official List of the UK Listing Authority and to trading on London Stock Exchange plc's market for listed securities.

Total shares allotted to date under the Offer by the Company now total 16,406,496 Infrastructure Shares. Following this allotment there are now 16,406,496 Infrastructure Shares of 1p each in issue.
