Foresight Solar VCT plc




The  Board is pleased to announce that in  accordance with the terms of a top-up
Offer  for  Subscription  dated  9 November 2011 (the "Offer"), 462,220 Ordinary
Shares  of  1 pence  each were  allotted  on 9 November 2011 at 100.00 pence per
share.

Application has been made for the admission of the 462,220 Ordinary Shares to
the Official List of the UK Listing Authority and to trading on London Stock
Exchange plc's market for listed securities.



Following this allotment there are now 38,387,252 Ordinary Shares of 1p each in
issue.
