ADVENT 2 VCT PLC ('ADVENT') OR (THE 'COMPANY')



The Company is pleased to announce the issue of 28,000 new ordinary shares of 5p
each (the 'New Advent Shares') pursuant to the offer for subscription, as
detailed in the circular to shareholders dated 20 March 2002, at a price of 89
pence per share.



The New Advent Shares represent approximately 0.08% of the Company's existing
issued ordinary share capital.



Application has been made to the UK Listing Authority for the New Advent Shares,
which rank pari passu with the existing issued ordinary share capital, to be
admitted to the Official List and to the London Stock Exchange for those shares
to be admitted to trading on the London Stock Exchange's market for listed
securities.  It is anticipated that the new shares will be admitted to trading
on 14 May 2002.
