Changes to the Flutter Board of Directors

 

Flutter Entertainment plc announces a number of non-executive changes, the outcome of which will enhance the gender balance of the Board.

 

Divyesh ("Dave") Gadhia and Peter Rigby have decided not to seek re-election at the Annual General Meeting to be held on 29 April 2021 and will, therefore, step down from the Board at the conclusion of that meeting. Holly Koeppel and Nancy Dubuc will be appointed as independent Non-Executive Directors. Nancy Dubuc's appointment will take effect from 29 April 2021 and Holly Koeppel's appointment will take effect from 13 May 2021.

 

Commenting on the Board changes, Chair of the Group, Gary McGann said:

 

"Since the successful merger of Flutter and The Stars Group ("TSG"), we have mapped out a Board renewal programme over the coming years, having regard to the scale, geographic breadth and direction of travel of the business, in addition to enhanced gender balance and diversity.   

 

As Executive Chair of TSG, Dave led the challenging turnaround and subsequent strong growth of the business. He was critical in seeing the opportunity for the merger with Flutter, while ensuring that his shareholders were appropriately represented and rewarded. He leaves a strong and enduring legacy. Peter has been a stalwart of the Betfair, Paddy Power and legacy Flutter boards during his seven years tenure as Director. He has made significant contributions to Flutter's progress through his astute Chairing of the Risk Committee and subsequently the Remuneration Committee.

 

I want to thank both Dave and Peter for their considerable commitment and good counsel and wish them health, happiness and success for the future.  

 

Following an international search as part of our on-going Board renewal process, I am delighted to welcome Nancy and Holly to the Board. Nancy brings a wealth of experience in the media and entertainment sectors to Flutter. Holly has extensive experience of regulated consumer facing businesses in the US and international markets. We look forward to Nancy's and Holly's involvement which will add enormously to the diversity of thought and perspective on the Flutter Board."

 

Nancy Dubuc has been CEO of leading independent North American headquartered, international media group, Vice Media since 2018.  She held senior management positions, including CEO, with A&E Television Networks between 1999-2018.  Prior to this, Nancy previously held various roles in the media and technology industry.

 

Holly Koeppel is currently Non-Executive Director of British American Tobacco plc, Arch Resources, Inc. and AES Corporation. She holds the position of Non-Executive Director of Vesuvius plc until 12 May 2021. She was previously the Managing Partner of the Gateway Infrastructure Fund from 2010 to 2017. Prior to this, Holly was CFO of American Electric Power.

Holly Koeppel is currently Non-Executive Director of British American Tobacco plc, AES Corporation, Arch Resources, Inc. and Vesuvius plc.

 

Nancy Dubuc is currently CEO of Vice Media Group, and during the past five years has not held any directorships in any other publicly quoted companies.
