                               Interest in Shares

The Company was notified by Schroder Investment Management Limited on 20 May
2004 that Schroder Investment Management Limited has an interest in 5,452,129
ordinary shares of 25p each in the Company ('Ordinary Shares'). This represents
approximately 11.11 per cent. of the issued ordinary share capital of the
Company.

Of this holding, 989,986 Ordinary Shares are held by Schroder Unit Trusts
Limited (SUTL) and are registered in the name Chase Nominees Limited. A further
544,708 Ordinary Shares are registered with Schroder Nominees Limited. The
