Directors' Holding

The Company was notified on 1 December 2010 that Mr S A Harris a director of the Company had increased his holding of Ordinary Shares of 25p each in the Company ("Ordinary Shares") through the exercise of options under the James Fisher and Sons Public Limited Company's Savings Related Share Option Scheme over 4,573 Ordinary Shares, with an exercise price of 352p per Ordinary Share.

Following this transaction Mr Harris has a beneficial interest in the Company's issued share capital of 39,582 Ordinary Shares representing 0.08 per cent of the Company's total issued share capital.

This notification is given in accordance with DTR 3.1.4R (i).
