                              Director Declaration


Further to the appointments of William Everard as an executive director and
Michael Everard as a non-executive director of the Company following completion
of the acquisition of F.T. Everard and Sons Limited, on 28 December 2006, the
Company confirms that there are no matters to be disclosed pursuant to Listing
Rule 9.6.13 save for the fact that Michael Everard has been a director of
Peninsular & Orierntal Steam Navigation Company in the last five years and
resigned from this post at the end of 2005.
