Voting Rights and Capital

In  conformity with the EU Transparency Directive's transitional provision 6  we
notify the market of the following:

The  Company's  Share  capital consists of 13,586,306  Participating  Preference
Shares   of  US$  0.01 each with voting rights. Therefore, the total  number  of
voting  rights  in  the  Company is 13,586,306 in respect of  the  Participating
Preference  Shares.   All Shareholders have equal voting  rights  based  on  the
number of Shares held.

The  above  figures  may  be used by Shareholders as  the  denominator  for  the
calculations  by which they will determine if they are required to notify  their
interest  in,  or  a  change to their interest in the Company  under  the  FSA's
Disclosure and Transparency Rules.
