At the Annual General Meeting held on 20 November 2000, all resolutions were
duly passed.  

The resolutions passed under 'Special Business' were as follows:

The Directors authority to allot a limited number of currently unissued
ordinary shares for cash without first offering such shares to existing
ordinary shareholders pro rata to their existing holdings has been renewed.

The Company's authority to purchase its shares for cancellation has been
renewed up to a limit of 14.9% of the number of ordinary shares in issue on 28
September 2000.

Mr John Morrell retired from the Board at the Annual General Meeting having
served as Chairman since inception.  Sir Victor Garland has taken over as
Chairman of the Company with effect from 20 November 2000.
