                         Board change and AGM results

The Company announces that Mr A R Mills resigned as a non-executive director
of The Ninth Floor plc on 28 December 2001 by rotation at the Company's annual
general meeting ('AGM'). The Company is currently seeking a replacement for Mr
Mills.

At the AGM certain resolutions set out in the notice of AGM were not proposed.
These were special resolutions 6 and 7 relating to the ability of the
directors pursuant to section 80 and section 95 of the Companies Act
respectively to allot equity securities, and special resolution 9 relating to
the proposed change of name. All other resolutions set out in the notice of
AGM were proposed and passed at the AGM.
