NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY

Wolseley plc (the "Company") wishes to announce that on 24 March 2016, it transferred 13,434 ordinary shares of the Company of 10 ⁵³/₆₆p each held by the Company in treasury ("Treasury Shares") to an employee of the Wolseley Group in satisfaction of options and awards under the Wolseley Group Long Term Incentive Plan 2012 ("LTIP 2012") and the Wolseley Group Executive Share Option Plan 2012 ("ESOP 2012"). The exercise price of 9,452 shares under option under the ESOP 2012 was 2,796 pence and 3,982 shares under option under the LTIP 2012 were nil cost.

As a consequence of that transfer, the Company now holds 11,359,017 Treasury Shares and its issued share capital (excluding Treasury Shares) is 255,277,089. 

The total voting rights figure (of 255,277,089) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
