 Transaction in Own Shares

Wolseley plc (the "Company") announces that it has purchased, in accordance with the authority granted by shareholders at the Company's Annual General Meeting on 26 November 2013, the following number of its ordinary shares of 10 ⁵³/₆₆ pence each ("Shares") as part of the share repurchase programme announced on 30 September 2014:

Number of Shares purchased:                       170,000

Highest price paid per Share:                         3,219 pence

Lowest price paid per Share:                          3,208 pence

Average price paid per Share:                        3,215.57 pence

The Company intends to hold these Shares in Treasury.

Including Shares which have been purchased but not yet settled, the Company holds 3,571,820 Shares in Treasury.

The Company has 262,991,846 Shares in issue (excluding Shares held in Treasury and including 2,483 Shares allotted on 28 October 2014). This number represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
