The Wolseley Group Long Term Incentive Plan 2012 ('LTIP') - Award

Wolseley plc announces that on 3 January 2013 a conditional allocation of ordinary shares in the capital of the Company was made under the LTIP to 9 Senior Executives, all of which are Executive Directors and/or Persons Discharging Managerial Responsibilities. These shares will only vest upon the achievement of certain corporate performance targets measured over a three year period. No consideration is payable either at allocation, on vesting or, for those in the form of nil cost options, on exercise of all or part of the awards.

The following table shows the conditional allocation made under the LTIP on 3 January 2013:
