DIRECTOR DECLARATION

Wolseley plc ("Company") confirms that Ian Meakins, Group Chief Executive of the Company, has been appointed as Non-Executive Director of Rexel with effect from 1 July 2016 and as Non Executive Chairman of Rexel with effect from 1 October 2016.  As previously announced, Mr Meakins will retire from the Company on 31 August 2016.
