                                 Board Changes


The Board announced today that Roger Barnett, Group Managing Director, will
retire on 31 December 2002 after 34 years service with the Group.  He will be
succeeded as Group Managing Director by David Sawyer, who has been President of
Feedback Incorporated for four years and is a Main Board Director.  His
appointment will take effect from 1 January 2003.



Mr Sawyer will initially divide his time between the UK and the USA before
relocating back to the UK in early Summer 2003.



The Interim Results for the 6 months ended 30 September 2002 will be announced
in mid-December and they will be in line with market expectations.
