Pursuant to our Listing Agreement, you are hereby notified of the following
officer election effective March 7, 2001:

*  Brian P Kelley has been named Vice President, Global Consumer Services,      
   replacing Robert L Rewey, Group Vice President - Global Consumer Services and
   North America.  Mr Rewey plans to retire on March 23, 2001.

You are also notified of the following officer elections effective April 1,
2001:

*  Karen C Francis has been named Vice President, Consumer Connect, replacing   
   Brian P Kelley.

*  Anne Stevens has been named to the new position of Vice President, North     
   America Assembly Operations.

*  Gerhard Schmidt has been named to the position of Vice President, Research.
