Voting Rights and Capital

In conformity with the Interim Transparency Rules of the Financial Regulator,
FBD HOLDINGS PLC ('FBD') announces that:

As of 31 July 2007, FBD has 34,164,476 Ordinary Shares of €0.60 each ('Shares')
in issue, excluding treasury shares, and holds 1,296,730 Shares in treasury.

The total number of Shares in issue which are both admitted to trading on the
Irish Stock Exchange and the London Stock Exchange and carry voting rights is
34,164,476. This number may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest, or a change to their interest, in FBD Holdings plc.

Section 209 (3) of the Companies Act, 1990 effectively suspends any voting
rights attaching to the 1,296,730 treasury shares for so long as they are held
in treasury.
