Dear Sir/Madam,



FBD Holdings plc wishes to announce that on the 26th October 2006, it
transferred 558,125 treasury shares to employees who exercised share options.



The shares were transferred at a price of €8.99 per share.



After the transaction, the Company holds 541,775 treasury shares and the total
number of ordinary shares in issue, less the total number of treasury shares
held by the Company, amounts to 34,919,431.
