                          RE: RULE 9.6.4 ANNOUNCEMENT



Dear Sir/Madam,



FBD Holdings plc wishes to announce that on the 3rd January 2007, it transferred
87,918 treasury shares to employees who exercised share options.



The shares were transferred at a price of €8.99 per share.



After the transaction, the Company holds 453,857 treasury shares and the total
number of ordinary shares in issue, less the total number of treasury shares
held by the Company, amounts to 35,007,349.
