                          RE: RULE 9.6.4 ANNOUNCEMENT



FBD Holdings plc wishes to announce that on the 30th March 2006, it transferred
90,000 treasury shares to employees who exercised share options.



The shares were transferred at a price of €4.60.



After the transaction, the Company holds 1,099,000 treasury shares and the total
number of shares in issue, less the total number of treasury shares held by the
Company, amounts to 38,161,306.
