Resignation

At a Board Meeting held on 4th March 2002, Mr. Thomas Parlon resigned from the
Board with immediate effect.

Appointment

At a Board Meeting held on 4th March 2002, Mr. John Dillon was appointed as a
Non-Executive Director with immediate effect.

In relation to paragraph 16.4(a) of the Listing Rules, I confirm that Mr. Dillon
has not held any directorships in any other publicly quoted company at any time
during the past five years.

In relation to paragraph 16.4(b) of the Listing Rules, I confirm that there are
