Publication of Circular and Notice of EGM

FBD Holdings plc ("FBD" or the "Company") announces that it has today published a circular ("Circular") and Notice of an Extraordinary General Meeting ("EGM"). The Circular sets out details of the proposed related party transaction which was announced by the Company on 24 August 2015 concerning the divestment of FBD's stake in its joint venture, FBD Property & Leisure Limited, to Farmer Business Developments plc (a related party owning 28.7% of the voting shares of the Company).  An EGM has been convened for 11am on 22 October 2015 at The Irish Farm Centre, Old Naas Road, Bluebell, Dublin 12, Ireland.  An ordinary resolution, to give effect to the proposed transaction, will be proposed at the EGM for the approval of shareholders, other than Farmer Business Developments plc.

Copies of the Circular will be submitted to the Irish Stock Exchange and the UK National Storage Mechanism. The Circular, including Notice of the EGM, will therefore shortly be available for inspection at www.morningstar.co.uk/uk/NSM and on the Company's website http://www.fbdgroup.com/.

The Company shall publish the Notice of EGM in two national daily newspapers in Ireland and shall, as soon as is practical, post a copy of such Notice and the Circular to shareholders.
