The following replaces the Employee Share Incentive Plan announcement released
on 5 August at 12.30pm under RNS number 6696B. Sanne Trustee Company UK Limited
purchased shares yesterday, and not today, as previously announced.

All other details remain unchanged, and the full amended text appears below.

Sanne Trustee Company UK Ltd as trustee of the Evolution Employee Share
Incentive Plan Trust

The Evolution Group Plc ("Evolution" or the "Company"), the investment bank and
retail fund management group, announces that Sanne Trustee Company UK Limited
(the "Trustee") in its capacity as the trustee of the Evolution Employee Share
Incentive Plan (the "Plan") has yesterday purchased 7,286 Ordinary shares of 1p
each at a price of 148 pence per share and that Evolution has today issued 6,615
Ordinary shares of 1p each credited as fully paid at 148 pence per share to the
Trustee as "matching shares" under the terms of the Plan. The Trustee holds the
shares as Nominee for the participants of the Plan.

The purchase and issue included the following shares in respect of certain of
its directors:
