The Evolution Group Plc ('the Company') announces that on 7 December 2001
1,429,839 Ordinary Shares of 1p each were allotted to James Chilcott,
Director, pursuant to the exercise of options under the Company's Evolution
Acquisition Option Scheme. These shares will rank pari passu with the existing
issued ordinary shares in the Company. Application will be made to the London
Stock Exchange for these shares to be quoted on the Alternative Investment
Market and it is expected that dealings will commence on 13 December 2001.
