                            Directors' Shareholdings

The Evolution Group Plc ("Evolution" or the "Company"), the investment bank and
retail fund management group, announces that the Company has today issued
468,694 Ordinary shares of 1p each credited as fully paid at 112.85 pence per
share to the Sanne Trustee Company UK Limited (the "Trustee") in its capacity as
the trustee of The Evolution Group Plc Employee Share Incentive Plan Trust (the
"Plan") as "free shares" under the terms of the Plan.

The Trustee holds the shares as Nominee for the participants of the Plan.

The total purchase and issue for the Plan included the following shares in
respect of certain of its directors:
