        The Evolution Group Plc ("the Group") - Circular to Shareholders

As stated in the Chairman's statement to the interim results announced on 3
September 2003, it is proposed that the Group adopts an all employee share
incentive scheme. A circular has today been posted to shareholders and a copy of
