Evolution Group plc ("the Company") announces that pursuant to the issue of
shares under the Ex Beeson Gregory Group Plc Executive Scheme 1996 it has
allotted 465,238 Ordinary Shares of 1p each in the Company. These shares rank
pari passu in all respects with the existing issued ordinary shares in the
Company. Application has been made to the London Stock Exchange for these shares
to be quoted on AIM and it is expected that dealings will commence on Wednesday
29 January 2003.
