NOTIFICATION OF DIRECTORS' SHARE TRANSACTIONS


The company has today been informed of the following transactions in the
company's ordinary shares of 40p by directors:

•        On 10 December 2002 Richard Palmer purchased 5,000 shares at a price of
         137p each and a further 19,157 shares at a price of 138p each.

•        On 10 December 2002 Ann Wilson purchased 2,750 shares at a price of
         137p each and a further 6,250 shares at a price of 138p each.

As a result of the above transactions, those directors' shareholdings are now:

•        Richard Palmer 500,000 shares (0.95% of the total issued share capital)

•        Ann Wilson 356,606 shares (0.67% of the total issued share capital).
