("Europa Metals", the "Company" or the "Group")(AIM/AltX: EUZ)

Removal from the Official List of the ASX

Europa Metals, the European lead-zinc explorer, announces the removal of the Company from, and the cessation of trading in its securities on, the official list of the ASX Limited ("ASX") (the "Official List"), with effect from 4.00 p.m. Australian Eastern Standard Time today.

 

As announced on 25 January 2019, the Company applied to the ASX and was subsequently granted approval for it to be removed from the Official List pursuant to ASX Listing Rule 17.11. The ASX has confirmed that the Company's securities will be delisted from the ASX and therefore may no longer be traded on the ASX following the close of trading today.

 

No change will occur to the quotation and trading of Europa Metals' shares on the AIM market operated by the London Stock Exchange plc ("AIM") or the AltX of the Johannesburg Stock Exchange ("JSE") ("AltX"), with the Company's primary listing being on AIM and secondary listing being on AltX going forward.

 

Implications for holders on the Australian register following the Company's removal from the Official List are:

 

·    All Shareholders on the Australian register will have their CHESS and Issuer Sponsored holdings converted to certificated holdings following the ASX delisting. This process will occur automatically, and no action will be required by such Shareholders. The sub-register will be unlisted and accordingly the securities will not be able to be traded on the ASX;

·    In order to trade Europa Metals' securities on AIM, Shareholders on the unlisted Australian register will need to convert their Europa Metals shares into "depository interests" (Dls) to facilitate trading via CREST. CREST is a UK computerised paperless share transfer and settlement system which allows shares and other securities to be held in electronic rather than paper form and transferred otherwise than by written instrument. CREST is a voluntary system and those who wish to continue to hold their Europa Metals shares on the Australian register will be able to do so (although this will preclude the holder from being able to trade those Europa Metals shares on AIM); and

·    Computershare Investor Services Pty Limited in Australia will maintain the unlisted/certificated sub-register.

Europa Metals' UK share registry, Computershare Investor Services PLC ("Computershare UK"), holds and issues "depository interests" in respect of, and representing, on a one-for-one basis, Europa Metals shares ("Europa Metals Dls").

 

Holders of Europa Metals Dls have the same rights as holders of Europa Metals shares, including, but not limited to, the right to:

 

·    receive notices of meetings and other notices issued by Europa Metals;

·    exercise the voting rights attached to the underlying Europa Metals shares; and

·    receive any dividends paid by Europa Metals from time to time to its shareholders.

The Europa Metals Dls are independent securities and are held on a Depositary register maintained by Computershare UK.

 

Shareholders on the Australian register wishing to hold Europa Metals DIs in CREST or trade Europa Metals DIs on AIM will be required to wait until they have received their certificates of holding for their Europa Metals shares from Computershare Investor Services Pty Limited and then engage the services of a broker who is able to accept the depositary interests into CREST, and then proceed to convert those Europa Metals shares into Europa Metals Dls.To trade on AIM, Australian Shareholders can contact an authorised UK stockbroker and establish an account with them or an Australian stockbroker who has an existing account with UK stockbrokers that they can utilise for the purpose of trading in AIM securities (such as Europa Metals Dls) by their clients. Upon request, Europa Metals can provide contact details for such UK or Australian stockbrokers who can facilitate trading in Europa Metals DIs on AIM.

 

Australian Shareholders wishing to hold or trade Europa Metals' securities on AltX will need to arrange to have their ordinary shares repositioned to a broker or Central Security Depositary Participant (CSDP) in South Africa that is suitably licenced to hold or trade securities on behalf of Australian residents/entities.
