Repurchase of Convertible Loan Notes, Transaction in Own Shares, Director/PDMR Shareholding, Share Capital Update and Share Matching Plan Award

On 30 January 2013 EPE Special Opportunities plc ("ESO plc" or the "Company") made a further award under the Share Matching Plan. Awards of Matching Shares totalling 307,141 were made with shares purchased out of Treasury by the Employee Benefit Trust (established under the Share Matching Plan) to satisfy the awards. All of the awards were made to Eligible Participants including three Directors of the Company, Geoffrey Vero (awards made over 5,102 shares), Clive Spears (awards made over 15,306 shares) and Robert Quayle (awards made over 15,306 shares).

Geoffrey Vero (a Director of the Company) purchased 10,204 shares in the market and now holds 60,620 shares representing 0.21% of the issued ordinary share capital of the Company.

Nicholas Wilson (a Director of the Company) purchased 15,306 shares in the market and now holds 50,931 shares representing 0.17% of the issued ordinary share capital of the Company.

Clive Spears (a Director of the Company) purchased 30,612 shares in the market and now holds 30,612 shares representing 0.10% of the issued ordinary share capital of the Company.

Robert Quayle (a Director of the Company) purchased 30,612 shares in the market and now holds 30,612 shares representing 0.10% of the issued ordinary share capital of the Company.

All of the above trades were made at a price of 49 pence per ordinary share,

Following the above transactions, there are 29,242,090 ordinary shares in issue (excluding shares held in Treasury).
