                             Directors Shareholding


The Company was notified on 1 October 2003 that Lord St John, a Non-Executive
Director of the Company, had purchased 6,500 Ordinary Shares of the Company
('Ordinary Shares'), at 76.5p per share each representing a holding of 0.01 per
cent. of the issued share capital.

As a result of this purchase, Lord St John has a beneficial interest in 6,500
Ordinary Shares representing 0.01 per cent. of the Company's share capital.
