Directors' Notification of Dealing in Shares

SHARE OPTION EXERCISES BY EMPLOYEES

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of a transfer out of the trust of 30,158 ordinary
shares in the capital of the company following the exercise of share options
by employees.  All of the ordinary shares were sold in the market today.
20,563 shares were sold at 598 pence per share and the remaining 9,595 shares
were sold at a price of 593 pence per share.

The Directors, A R Armour, I G Craig, Sir Graham Hearne, P H Jungels, A B
Shilston and K P Watts, as holders of share options, have a potential interest
in the shares held by the trust.
