Directors' Notification of Dealing in Shares

SHARE OPTION EXERCISES BY EMPLOYEES

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of a transfer out of the trust of 25,792 ordinary
shares in the capital of the company following the exercise of share options
by two employees.  All of the ordinary shares were sold in the market today. 
12,824 at a price of 529.00 pence per share and 12,968 at a price of 532.50
pence per share.

The Directors, A R Armour, I G Craig, Sir Graham Hearne, P H Jungels, A B
Shilston and K P Watts, as holders of share options, have a potential interest
in the shares held by the trust.
