Directors' Notification of Dealing in Shares

NOTIFICATION UNDER LISTING RULES - 16.13(c)

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of a sale and transfer out of the trust of ordinary
shares in the capital of the company following the exercise of share options
by an employee, in which the Directors, A R Armour, I G Craig, Sir Graham
Hearne, P H Jungels, A B Shilston and K P Watts have a potential interest.

12,232 ordinary shares were sold in the market on 15 May 2000 at a  
price of 484.50 pence per share.
