Directors' Notification of Dealing in Shares

NOTIFICATION UNDER PARAGRAPH 16.13(C) OF THE LISTING RULES

The Trustee of the Enterprise Oil Employee Worldwide Benefit Trust notified us
on 26 April 2000 of a purchase on 25 April 2000 of 127,702 ordinary shares in
the capital of the company at a price of 436.8827 pence each.

We have also been notified of a sale and transfer out of the trust of ordinary
shares in the capital of the company following the exercise of share options
by two employees.  The shares were sold in the market on 26 April 2000, 3,290
ordinary shares at a price of 455.00 pence per share and 13,257 ordinary
shares at a price of 457.00 pence per share.

The Directors, A R Armour, I G Craig, Sir Graham Hearne, P H Jungels, A B
Shilston and K P Watts have a potential interest in these transactions.
