NOTIFICATION UNDER LISTING RULES - 16.13(c)

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of a sale and transfer out of the trust of ordinary
shares in the capital of the company following the exercise of share options
by two employees, in which the Directors, Sir Graham Hearne, P H Jungels, A B
Shilston, A R Armour and K P Watts have a potential interest.

1,228 ordinary shares were sold in the market on 20 December 1999 at a  
price of 437.25 pence per share.
