NOTIFICATION UNDER LISTING RULES - 16.13(c)

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of sales and transfers out of the trust of ordinary
shares in the capital of the company following the exercise of share options
by employees, in which the Directors, Sir Graham Hearne, P H Jungels, A B
Shilston, A R Armour and K P Watts have a potential interest.

22,907 ordinary shares were sold in the market on 11 November 1999 at a  
price of 490 pence per share.
