NOTIFICATION UNDER LISTING RULES - 16.13(c)

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of sales and transfers out of the trust of ordinary
shares in the capital of the company following the exercise of share options
by two employees, in which the Directors, Sir Graham Hearne, P H Jungels, A B
Shilston, A R Armour and K P Watts have a potential interest.

5,489 ordinary shares were sold in the market on 17 November 1999 at a  
price of 484 pence per share and 2,852 such shares were sold on 17 November
1999 at a price of 473.75 pence per share.
