NOTIFICATION UNDER LISTING RULES - 16.13(c)

We have today been notified by the Trustee of the Enterprise Oil Employee
Worldwide Benefit Trust, of a sale and transfer out of the trust of ordinary
shares in the capital of the company following the exercise of share options
by an employee, in which the Directors, Sir Graham Hearne, P H Jungels, A B
Shilston, A R Armour and K P Watts have a potential interest.

13,472 ordinary shares were sold in the market on 13 September, 1999 at a
price of 486.00 pence per share.
