Enterprise Oil PLC 8 May 2002 Enterprise Oil plc Board Changes and Notifications under Listing Rule 16.13 Enterprise Oil today announces that, consequent upon the Offer made by Schroder Salomon Smith Barney on behalf of Shell Resources P.L.C. becoming unconditional in all respects, the under-noted appointments have been made with effect from 8 May 2002, when Sir Graham Hearne, Sam Laidlaw, Ian Craig, John Grieves, Keith Henry, Paul Loyd Jr, Sir Brian Moffat, Roger O'Neil, Andrew Shilston and Kevin Watts will step down as directors. Board Appointments Walter Van de Vijver, age 47, becomes Chairman of Enterprise Oil plc. Mr Van de Vijver has been a Managing Director of Royal Dutch Petroleum since July 2001 and is also currently Chief Executive Officer of the Exploration and Production Business of the Royal Dutch / Shell Group of Companies. Prior to this appointment he was President and Chief Executive Officer of Shell Exploration and Production Company in the USA from 1998 to 2001. Lorin Brass, age 48, becomes Chief Executive of the company. Mr Brass is Director of New Business Development and a member of the Executive Committee for Shell International Exploration and Production. He is also the Chair of the Shell Deepwater Council. Mr Brass began his career as an engineer for Shell Oil Company and has progressed through a variety of technical and business assignments primarily in Shell's E&P divisions in the US including Houston, Bakersfield and New Orleans. In 1997 he and his family moved to The Hague, The Netherlands, where he became CEO of a newly formed, global shared services company for the Shell Group of companies. He has since moved into Shell International E&P and began his current assignment in January 2000. Neil Gaskell, age 53, has become a director of the company. Mr Gaskell joined Shell in 1969. An accountant by profession, he has worked in Shell and Shell Associates in the Far East, Africa, the UK and the Netherlands. He became head of Shell Pensions Investments in the early 1990s where he started the globalisation of the in-house investment business. He then moved to Japan as the first non Japanese Vice President, Representative Director of Showa Shell Sekiyu (a publicly quoted company) from 1994 to 1997 to oversee both the post foreign exchange loss recovery plan and subsequently the company's subsidiaries' governance, before assuming the position of Deputy Group Treasurer. He became the Shell Group Treasurer in July 2000. Dominique Gardy, age 51, has become Chief Financial Officer of the company. Mr Gardy joined Shell France in 1976 after obtaining a degree in Civil Engineering (Ponts et Chaussees) and a Phd. in Economics (Sorbonne). His early career was spent as a member of the Operational Research Department from where he moved into Budget Analyst, Procurement, Controller and Treasury roles within Shell France and in Shell International. He joined A/S Norske Shell - Oslo in 1990 as Downstream Oil Director and in 1996 became Downstream Oil Director at Societe des Petroles Shell in Rueil-Malmaison, France. He was elected to the position of Vice President Finance, Shell Oil Company in February 1997. In June 1999, Dominique Gardy was appointed Chief Financial Officer of Shell's EP Business and as a member of the EP Executive Committee. Clive Mather, age 54, has become a director of the company. Mr Mather joined Shell International in 1969. His early career was spent undertaking a series of personnel, industrial relations and generalists assignments with Shell in the UK and Far East. In 1984 he became Regional Retail Manager for the UK and in 1986, became Director HR, Public Affairs and Administration for Shell UK Limited. In 1995, he became Information and Technology Coordinator and moved in 1997 to become a Director of the International Directorate in the Corporate Centre. Mr Mather was appointed Chief Executive of Shell Services International in 1999 and in 2001 became UK Country Chairman. Richard Wiseman, age 50, has become a director of the company. Mr Wiseman joined Shell in 1975. A solicitor by profession, he has worked in a number of positions in Shell's legal organisation and became UK General Counsel in 1992. There are no matters relating to any of the above-noted newly appointed directors which would require disclosure under paragraph 6.F.2(b) to (g) of the Listing Rules. Mark White remains as Company Secretary. Director Shareholdings As a consequence of the Offer becoming unconditional in all respects, each of the former directors have tendered their entire beneficial holdings of ordinary shares of 25 pence each in the capital of Enterprise Oil plc at the offer price of 725 pence per share as follows: Sir Graham Hearne 10,003 Sam Laidlaw 201,103 Ian Craig 34,657 John Grieves 1,000 Keith Henry 1,000 Paul Loyd Jr nil Sir Brian Moffat 2,000 Roger O'Neil 1,500 Andrew Shilston 76,530 (including 52,884 held by Mrs C Shilston) Kevin Watts 40,472 In addition, all extant awards under the long-term incentive plan have today vested for nil consideration with the following directors acquiring ordinary shares of 25 pence each in the capital of the company: Sam Laidlaw 218,540 (in addition, a proportion of the 200,000 shares conditionally awarded to Mr Laidlaw under the share matching arrangements set out in his service contract will have vested but the exact figure has not yet been determined).
