                     Enterprise Oil Annual General Meeting


Enterprise Oil, a subsidiary of Shell Resources PLC, today held its Annual
General Meeting as a separately quoted company at the Stationers' Hall in
London. The meeting passed resolutions to accept the 2001 Accounts, declare a
final dividend for 2001 and to appoint auditors.

Further to Shell's announcement on 7 May that its offer for Enterprise had gone
wholly unconditional, as at 3pm on Wednesday 15 May, Shell either owned,
controlled or had received acceptances of the offer in respect of 94.1 per cent
of Enterprise's issued shares.
