                     Total Voting Rights and Share Capital


To conform with the Transparency Directive's transitional provision 6, Egdon
Resources Plc ('the Company') confirms that its issued share capital consists of
65,465,764 ordinary shares of 1 penny each with voting rights ('the Shares'). No
Shares are held in treasury. Therefore, the total number of voting rights in the
Company is 65,465,764.
Shareholders may use the figure of 65,465,764 Shares as the denominator for the
calculation by which they will determine if they are required to notify their
interest in or a change to their interest in the Company under the Financial
Services Authority's Disclosure and Transparency Rules.
