365 Corporation plc have issued 512,500 Ordinary shares of 0.25p each as
follows:

Under the terms of the Sale and Purchase Agreement dated 4 October 2000 for the
acquisition of Essential Network Solutions Limited, 312,500 Ordinary shares of
0.25p each ranking pari passu with the existing issued shares in the capital of
the Company were allotted to the Vendors.

Under the terms of the Sale and Purchase Agreement dated 8 September 2000, for
the acquisition of Phones Express Limited, 200,000 Ordinary Shares of 0.25p each
ranking pari passu with the existing issued shares in the capital of the Company
were allotted to the Vendors.

Accordingly, application has been made to the UK Listing Authority for these
shares to be admitted to the Official List and for these shares to be admitted
to trading on the London Stock Exchange.

Copies of this announcement are available from the Registered Office of the
Company for the period of 14 days from the date of this announcement.
